1. Introduction
These Terms and Conditions ("Terms") govern your use of services provided by Zylaro Worldwide Trading Inc ("Company", "we", "us", or "our"). By purchasing specialty coffee or tea products from us, you agree to be bound by these Terms.
2. Product Information & Quality
All coffee and tea products are described with origin information, cupping scores (for coffee), and grade specifications. Products are subject to availability based on harvest seasons. We reserve the right to substitute comparable origins in case of crop failures.
3. Pricing and Payment Terms
All prices are quoted in US Dollars (USD) unless otherwise specified. Payment terms are Net 30 days from the date of invoice for approved credit accounts. For new customers, prepayment or letter of credit may be required.
- Bulk orders over $100,000 may qualify for volume discounts
- Late payment fees of 1.5% per month apply to overdue accounts
- We reserve the right to modify pricing based on market conditions
4. Order and Delivery
All orders are subject to acceptance and crop availability. We guarantee 48-hour freshness from roasting/packaging. Climate-controlled shipping ensures quality preservation during transit.
- Express air freight: 2-5 business days worldwide
- Standard sea freight: 3-6 weeks for bulk orders
- Customer responsible for customs clearance and import permits
- Temperature-controlled storage included in all shipments
5. Quality Assurance and Freshness Guarantee
All coffee products are SCA certified with professional cupping scores. Tea products meet respective grading standards. We guarantee freshness and quality at the time of delivery.
- Coffee freshness guaranteed within 6 months of roast date
- Quality inspection required within 7 days of delivery
- Claims for defective products must include cupping/tasting notes
6. Returns and Refunds
Due to the specialized nature of fresh coffee and tea products, returns are accepted only for quality defects identified within inspection period. Once roasted or packages opened, products are non-returnable.
- Quality claims must be submitted within 7 days of delivery with cupping notes
- Unopened products in original packaging may be eligible for return
- Restocking fee of 15% applies to approved returns of unopened items
- Customer bears return shipping costs unless product is defective
7. Limitation of Liability
The Company's liability is limited to the purchase price of the products. We are not liable for indirect, incidental, or consequential damages, including loss of business, lost profits, or downstream processing costs.
8. Product Specifications & Cupping
Buyers are responsible for verifying that ordered coffee and tea products meet their business requirements. We provide cupping notes and flavor profiles, but final product selection and roasting parameters remain the buyer's responsibility.
9. Incoterms
Unless otherwise specified, all sales are conducted under Incoterms 2020. Default terms are EXW (Ex Works) for domestic sales and FOB (Free on Board) for international shipments.
10. Force Majeure
We shall not be liable for delays or failures in performance resulting from acts beyond our reasonable control, including natural disasters, war, strikes, government actions, crop failures, or shipping disruptions.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming.
